About AFC and these Terms
AFC is operated by African Food Changemakers Institute Ltd/GTE, a company limited by guarantee registered in Nigeria. Our principal contact address is No. 12 Dr. Clement Isong Street, Asokoro 900103, FCT Abuja, Nigeria.
Some services may be subject to a programme schedule, order page, application form, community rules or other supplemental terms presented before use or payment. Those supplemental terms form part of the agreement for that service. If there is a conflict, the more specific term applies to that service, except that mandatory law will always prevail.
AFC may introduce marketplace, commerce, diagnostic, messaging or other functions in the future. Such functions will not be governed by inactive or unpublished terms. Where additional terms are required, AFC will present them before the relevant function is used or a transaction is completed.
Eligibility and authority
You must be at least 18 years old and legally capable of entering into a contract to purchase a paid programme, unless AFC expressly offers a youth programme with an approved parent, guardian or institutional consent process. By acting for a business or organisation, you confirm that you have authority to bind it.
You must provide accurate, complete and current information. AFC may request reasonable information to verify identity, eligibility, authority, payment or compliance with programme requirements.
Accounts and account security
You are responsible for safeguarding your login credentials and for activity carried out through your account where you authorised the activity or failed to take reasonable steps to protect the account. You must notify AFC promptly if you suspect unauthorised access or misuse.
You may not create an account using false details, impersonate another person, transfer an account without permission, attempt to gain unauthorised access or interfere with AFC Hub security. AFC may require a password reset, temporarily restrict access or investigate suspicious activity.
Membership and community features
AFC Hub may provide member profiles, directories, programme communities, posts, messaging, resources and networking tools. Visibility settings and the relevant privacy notice explain which profile information may be visible to other users or the public.
You must communicate respectfully and lawfully. You must not upload or transmit content that is unlawful, fraudulent, defamatory, threatening, discriminatory, infringing, deceptive, malicious or harmful; collect another user’s information without authority; send spam; or use AFC Hub to facilitate prohibited activity.
AFC may moderate content, investigate reports and remove or restrict content where reasonably necessary to enforce these Terms, protect users, comply with law or preserve platform integrity. Where practicable, AFC will explain material enforcement action and provide an internal review route.
Programme applications and enrolment
Submitting an application does not guarantee selection or enrolment. If a programme requires selection, enrolment becomes confirmed only when AFC communicates acceptance and any required payment has been successfully verified. If AFC declines an applicant after payment, AFC will refund the amount paid for that programme.
Before payment, the programme page or schedule will state the provider, programme name, format, dates and time zone, principal deliverables, eligibility, price and currency, payment terms, cancellation rules, certificate conditions and support channel. You are responsible for reviewing that information before accepting it.
Prices payments and confirmation
Prices will be displayed before payment in the stated currency. Unless the checkout page expressly states otherwise, payment is a one-time charge and does not create a subscription or recurring billing arrangement. Applicable taxes and mandatory charges will be disclosed before payment where required.
AFC uses Flutterwave and may use other authorised payment service providers to process payments. Payment providers may conduct verification, fraud screening and card authentication under their own terms and privacy notices. AFC does not ordinarily receive or store complete card numbers or card security codes.
A payment instruction is subject to authorisation and verification. A pending, failed or reversed transaction does not confirm enrolment. After successful verification, AFC will send a receipt or confirmation showing the customer, programme, amount, currency, transaction reference, confirmed cohort and support details.
You must not knowingly submit duplicate payments or use a payment method without authority. If you believe a charge is duplicate or incorrect, contact AFC promptly using the details in section 24.
Cancellations refunds and cohort transfers
The Refund and Cancellation Policy in force when you pay forms part of these Terms. For the Agribusiness Masterclass, the standard model is:
- Cancellation at least seven calendar days before the first scheduled session: a full refund of the amount paid to AFC for the programme.
- Cancellation fewer than seven calendar days before the first scheduled session: one transfer to the next available cohort, requested before the first session, subject to availability and any clearly disclosed price difference.
- After the first scheduled session or substantial access to digital materials: no change-of-mind refund, without affecting remedies for AFC non-delivery, duplicate payment, material defect or any right that cannot lawfully be excluded.
If AFC cancels a programme and you do not accept a reschedule or equivalent alternative, AFC will provide a full refund. Detailed procedures and timelines are stated in the Refund and Cancellation Policy.
Programme delivery attendance and certificates
You are responsible for suitable internet access, compatible equipment, attendance and compliance with published participation requirements. AFC will use reasonable efforts to deliver the programme as described but does not guarantee uninterrupted access to third-party platforms or networks outside its reasonable control.
A certificate may be subject to attendance, assignments, assessments, conduct or other requirements disclosed before enrolment. Payment alone does not guarantee certification.
Programme changes and cancellation by AFC
AFC may make reasonable changes to facilitators, session order, platforms or materials where the overall programme value is not materially reduced. AFC will notify participants of material changes as soon as reasonably practicable.
A material change includes a substantial reduction in principal deliverables, a significant date change that prevents attendance, or a change from the advertised delivery format that materially affects participation. Where a material change occurs, AFC will offer a reasonable choice of the revised programme, transfer to another cohort or refund under the Refund and Cancellation Policy.
Recordings and participation
AFC may record programme sessions for learning delivery, quality assurance or participant access where notice is given. The programme page will state whether sessions are recorded, who can access the recording and how long access will remain available. Participants must not record or redistribute sessions without AFC’s written permission and the consent of affected participants.
AFC will not use a participant’s image, voice, testimonial or identifiable story for unrelated public marketing merely because the person attended a programme. AFC will obtain an appropriate release or rely on another lawful basis explained at the point of collection.
Intellectual property and learning licence
AFC and its licensors retain ownership of AFC Hub, programme materials, recordings, brands, designs, databases and other protected content. Subject to payment and compliance with these Terms, AFC grants you a limited, non-exclusive, non-transferable and revocable licence to use programme materials for your personal learning or internal business development.
You may not sell, sublicense, publish, reproduce at scale, distribute, upload to another platform, remove ownership notices from or create a competing course from AFC materials without prior written permission. Nothing prevents you from using general knowledge and skills learned through the programme.
Your content
You retain ownership of content you submit. You grant AFC a non-exclusive licence to host, reproduce, display and process that content only as reasonably necessary to operate the selected service, comply with law and exercise rights under these Terms. Public promotional use requires an appropriate separate permission or other lawful basis.
You confirm that you have the rights and permissions needed to submit your content and that it does not infringe another person’s rights or disclose confidential information without authority.
Educational nature and outcomes
Programmes and resources are educational and do not constitute legal, tax, investment, accounting or regulated professional advice. Business examples and recommendations must be assessed against your circumstances and local requirements. AFC does not guarantee revenue, funding, investment, market access, employment, certification by a third party or any specific commercial result.
Third party services and links
AFC Hub may link to or integrate payment, webinar, communications, accounting, analytics or other third-party services. Their services are governed by their own terms and privacy notices. AFC is not responsible for a third party’s independent service, but this does not exclude responsibility that AFC has under law for its own selection, instructions or processing activities.
Privacy cookies and electronic communications
AFC processes personal data in accordance with the Privacy Policy and applicable data protection law. The Privacy Policy explains payment data, public profiles, programme records, recordings, cookies, international transfers and data-subject rights.
AFC may send service communications needed to operate an account, process a payment or deliver a programme. Promotional communications will be handled separately, and you may opt out using the method provided in the message or by contacting AFC.
Suspension and termination
AFC may restrict or terminate access where reasonably necessary because of serious or repeated breach, fraud, security risk, unlawful activity, non-payment or risk to other users. Where practicable, AFC will provide notice and an opportunity to respond. Immediate action may be taken where delay would create material harm or legal risk.
Termination does not automatically remove payment obligations already incurred. Any refund consequence will be determined fairly by the reason for termination, services already supplied, the Refund and Cancellation Policy and mandatory law. Provisions intended to survive, including intellectual property, accrued payment rights, dispute provisions and lawful limitations of liability, will continue.
Availability and events beyond reasonable control
AFC may perform maintenance or temporarily suspend a function for security or operational reasons. AFC is not liable for delay caused by events beyond its reasonable control where it uses reasonable efforts to mitigate the effect and communicate with affected users. If AFC ultimately cannot deliver a paid programme, the cancellation remedy in section 7 applies.
Liability
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct, death or personal injury caused by negligence, breach of data-protection obligations where liability cannot lawfully be limited, or any consumer right or other liability that cannot lawfully be excluded or limited.
Subject to the preceding paragraph, AFC will not be liable for indirect or consequential loss, loss arising from decisions made solely on educational content, or loss caused by circumstances outside AFC’s reasonable control. For a paid service, AFC’s aggregate contractual liability arising from that service will not exceed the total amount you paid AFC for the affected service during the twelve months preceding the event giving rise to the claim, except where a higher amount is required by law.
Complaints and dispute resolution
Please first send a complaint to [email protected] with your name, contact details, programme or account, transaction reference where relevant, and a clear description of the issue. AFC will acknowledge a payment or programme complaint within five business days and aims to provide a substantive response within ten business days, although complex matters may require more time.
If a consumer complaint is not resolved, you may approach the Federal Competition and Consumer Protection Commission or another competent regulator or court. Privacy complaints may also be made to the Nigeria Data Protection Commission. These Terms do not restrict any right to seek a lawful remedy.
Governing law and jurisdiction
These Terms are governed by the laws of the Federal Republic of Nigeria. The courts of competent jurisdiction in Nigeria will have jurisdiction, without preventing a consumer from relying on a mandatory right available in another jurisdiction that lawfully applies to the transaction.
Changes to these Terms
AFC may update these Terms to reflect changes in law, services or operations. The current version and effective date will be published on AFC Hub. AFC will provide reasonable notice of material changes. Where a change materially affects an existing paid right or requires consent, AFC will seek renewed acceptance rather than relying only on continued use.
Transfer and third party rights
You may not transfer your rights under these Terms without AFC’s written permission. AFC may transfer its rights and obligations as part of a lawful reorganisation or transfer of the relevant service, provided this does not reduce mandatory customer rights. A person who is not a party to these Terms has no right to enforce them unless the Terms expressly state otherwise.
General provisions
If a provision is held invalid or unenforceable, the remaining provisions continue in effect and the affected provision will be applied to the greatest lawful extent. A delay in enforcing a right is not a waiver. These Terms, the Privacy Policy, Refund and Cancellation Policy and any applicable programme schedule or supplemental terms form the entire agreement for the relevant service, except for representations or rights that cannot lawfully be excluded.
